These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and FlushRich LLC, a Delaware limited liability company ("FlushRich", "Company", "we", "us", or "our"). By accessing, downloading, installing, or using the FlushRich mobile application (the "App") in any capacity, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy.

IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE APP.

1. Eligibility and Jurisdiction
​

• The App is only available to individuals who:

  • Are 18 years or older;

  • Are legal residents of one of the following countries:

    • ​United States

    • United Kingdom

    • Canada (excluding Quebec)

    • Australia

    • New Zealand

    • Ireland

    • Germany

    • Austria

    • Denmark​

  • Have verified their identity using a valid government-issued photo ID (Driver’s License or Passport);

  • Are not otherwise barred by applicable law in their jurisdiction.

• Use of the App is prohibited in all other countries and jurisdictions. Users who travel to or reside in non-supported regions must immediately cease using the App. We reserve the right to use geo-location technologies and IP filtering to restrict or terminate access in unsupported locations.

• ​FlushRich LLC does not warrant that the App is appropriate or available for use in jurisdictions outside the approved countries listed in these Terms. Any use outside of those jurisdictions is unauthorized and at the user’s own risk. We reserve the right to geo-block access to the App in restricted regions.

2. No Purchase Necessary / Compliance with Sweepstakes Law
​

• Participation in sweepstakes does not require any purchase or payment.

• Users may earn Play Points through free methods including:​

  • Daily and monthly login bonuses;

  • Other free in-app actions.

• The sweepstakes are structured to comply with U.S. federal laws, state-level sweepstakes regulations, and Google Play and Apple App Store policies.

• Void where prohibited. It is the User’s responsibility to ensure that participation is lawful in their jurisdiction.

3. Subscriptions and Rewards
​

• FlushRich offers optional subscription tiers designed to enhance user experience:

• VIP Subscription: $9.99/month – Provides maximum Play Point earnings with daily logins, monthly logins, and other games. 

• Subscriptions do not increase a user's odds of winning any sweepstakes or rewards.

• All subscriptions are final and non-refundable, including in cases of early cancellation or unused time. By subscribing, users acknowledge and agree to this policy.

• Subscription Cancellation

  • Users may cancel their subscriptions at any time through their respective platform:

  • iOS users can cancel via the Apple App Store, under Settings > Apple ID > Subscriptions.

  • Android users can cancel via the Google Play Store, under Profile > Payments & Subscriptions > Subscriptions.

  • FlushRich does not directly process cancellations. Upon cancellation, users will retain access to subscription features until the end of the current billing cycle. No refunds are issued for partial subscription periods unless required by law.

• Users may redeem earned Gold Coins for digital gift cards. The standard conversion rate is 1,000 Gold Coins = $10 gift card. FlushRich reserves the right to modify the conversion rate at any time, in its sole discretion, with or without prior notice. Any changes to the conversion rate will be reflected within the app and apply to future redemptions.​

• Gold Coins and digital gift cards have no cash value, are non-transferable, and cannot be redeemed or exchanged for cash. Gift cards are provided solely as promotional rewards.

• Users are solely responsible for reporting and paying any taxes, duties, or governmental fees that may apply to the receipt or redemption of rewards or prizes received through the App, including digital gift cards. FlushRich LLC does not provide tax advice and shall not be held liable for any tax obligations incurred by users in their respective jurisdictions.

4. Ticket Limits and Fair Play
​

• Each user may enter up to five (5) tickets per sweepstakes.

• This limit is in place to promote fair access and prevent abuse, manipulation, or the perception of a gambling environment.

• Any attempt to exceed the limit through multiple accounts or deceptive practices will result in permanent account suspension.

5. Account Verification & Suspension
​

• Users must verify identity before withdrawing rewards. Only valid U.S. government-issued photo ID (passport or driver’s license) is accepted.

• We reserve the right to suspend or terminate any account without notice if:

  • Fraudulent, abusive, illegal, or unauthorized activity is detected;

  • The user violates these Terms or any applicable laws;

  • The user accesses the App from outside the U.S.;

  • The user is found to be underage or uses falsified documents.

6. User Responsibilities and Restrictions
​
You agree:

• Not to circumvent, disable, or tamper with security features;

• Not to engage in any conduct that may damage, disable, or overburden the App;

• Not to use the App for any unlawful or fraudulent purpose;

• Not to impersonate another individual or entity;

• That you are solely responsible for the security of your account.

7. Intellectual Property
​
All content in the App, including but not limited to logos, artwork, trademarks, and software, is the exclusive property of FlushRich LLC or its licensors. You are granted a limited, non-transferable license to use the App for its intended purpose only.

8. Limitation of Liability
​
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLUSHRICH LLC, ITS OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, OR PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP.
USE OF THE APP IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

9. Indemnification
You agree to indemnify, defend, and hold harmless FlushRich LLC, its affiliates, officers, directors, employees, and agents from and against any and all claims, losses, liabilities, expenses (including attorney’s fees) arising from:

• Your use or misuse of the App;

• Your breach of these Terms;

• Your violation of any applicable law or rights of a third party.

10. Dispute Resolution / Arbitration Clause

Any dispute, claim, or controversy arising out of or relating to these Terms, your use of the App, or any related services shall be resolved exclusively through binding arbitration in accordance with the rules of the American Arbitration Association (AAA).

• The arbitration will be conducted in Delaware under Delaware law, unless otherwise required by applicable consumer protection laws.

• You waive the right to a jury trial or to participate in a class action.

11. Termination

FlushRich LLC reserves the right, in its sole discretion, to terminate or suspend your access to the App for any reason, including but not limited to:

• Breach of these Terms;

• Fraudulent behavior;

• Unlawful use;

• Abuse of our services.

Upon termination, all rights granted to you will cease immediately.

12. Changes to Terms
​
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you via email or in-app alerts. Continued use of the App after the effective date of revised Terms constitutes your acceptance.

13. Governing Law
​
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles, and in compliance with all applicable U.S. federal and state regulations.

14. Accessibility
​
FlushRich is committed to providing an inclusive and accessible experience for all users. For details about our accessibility practices, accommodations, and how to request support, please refer to our Accessibility Statement available in the app and on our website.

15. Severability and Entire Agreement
​
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force. These Terms, together with our Privacy Policy, constitute the entire agreement between you and FlushRich LLC.

 

16. Data Protection and GDPR Compliance

​

FlushRich LLC processes personal data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR) for users located in the European Union.

By using the App, you consent to the collection and processing of your personal data, including but not limited to email address, device information, and location data, for purposes including account management, sweepstakes participation, and prize fulfillment.

Users located in the European Economic Area (EEA) have the right to:

• Access their personal data;

• Request correction or deletion;

• Object to or restrict processing;

• Withdraw consent at any time;

• Request data portability.

• Are at least 18 years of age and understand that falsifying your age may result in permanent suspension and disqualification from rewards;

• Are a legal resident of a supported country (United States, United Kingdom, Canada (excluding Quebec), Australia, New Zealand, Ireland, Germany, Austria, or Denmark);

• Have read, understood, and agree to these Terms;

• Understand that no purchase is necessary to participate;

• Consent to binding arbitration for dispute resolution.
